Terms of Service

These Terms of Service (“Terms”) are a contract between you and Transparent AI, Inc., doing business as Synthetic Cognition Labs (“Cogni,” “we,” “us”) governing your use of the Cogni memory service and website (the “Service”). By using the Service, you agree to these Terms and to our Privacy Policy. If you don’t agree, please don’t use the Service.

1. Eligibility

You must be at least 13 (or the minimum age of digital consent where you live) and able to form a binding contract. If you use Cogni on behalf of an organization, you represent that you’re authorized to bind it to these Terms.

2. The Service

Cogni is a memory and retrieval service (an “MCP server”) that your AI assistant connects to in order to store and recall information you choose to save. Cogni runs no AI model of its own; your client is the model. We ship changes frequently — features may change over time (see §9–10).

3. Accounts and access

You access Cogni by signing in through a supported authentication provider, or with a Cogni API key you generate. You’re responsible for maintaining the confidentiality of your credentials and API keys and for all activity under your account. Treat your API keys like passwords; you can revoke them at any time. Notify us at support@getcogni.io if you suspect unauthorized access.

4. Your content

You retain all rights to the content you store in Cogni (“Your Content”). You grant us a limited license to host, process, transmit, and display Your Content solely to operate and provide the Service to you (including generating embeddings as described in the Privacy Policy). You are responsible for Your Content and for having the right to store it. You agree not to store, via Cogni:

  • content you don’t have the right to store, or that infringes others’ rights or violates their privacy;
  • unlawful content, or content that violates these Terms; or
  • data we ask you not to store for safety reasons — including payment-card numbers, government identifiers (such as Social Security numbers), other people’s sensitive personal data without a lawful basis, and authentication secrets (passwords, API keys, one-time codes).

5. Acceptable use

You agree not to:

  • use the Service for anything illegal or harmful;
  • attempt to access another user’s data or store, or break the Service’s isolation or security;
  • overload, disrupt, or interfere with the Service, or circumvent rate limits or usage limits;
  • reverse engineer, decompile, or attempt to extract the Service’s proprietary methods, except to the extent the law prohibits that restriction;
  • resell, sublicense, or provide the Service to third parties except as expressly permitted; or
  • use the Service to build a competing product by copying it.

6. Plans, billing, and payment

The Service offers Free and paid plans. Free-plan usage is subject to the limits published in our documentation. Paid plans (such as Pro) are billed in advance through our third-party payment processor, which acts as merchant of record and handles payment and applicable taxes; by subscribing, you also agree to that processor’s terms. Subscriptions renew automatically until cancelled; you can cancel at any time, and your plan remains active through the end of the paid period. Except where required by law, payments are non-refundable. We may change plans, features, and pricing, and will give reasonable notice of material changes to a plan you’re on.

7. Intellectual property

The Service — including its software, the entity-graph spreading-activation and related retrieval methods, design, and content (excluding Your Content) — is owned by Transparent AI, Inc. and protected by intellectual-property laws. Patent applications covering the entity-graph spreading-activation and related retrieval methods are pending. These Terms don’t grant you any rights in the Service except the limited right to use it. If you send us feedback or suggestions, you grant us a royalty-free right to use them without obligation to you.

8. Third-party services

Cogni works with third-party AI clients (such as Claude and ChatGPT) and relies on third-party providers (see the Privacy Policy). We’re not responsible for third-party services, their availability, or their terms; your use of them is governed by their own agreements.

9. Availability

We provide the Service on an ongoing basis. We may add, change, suspend, or remove features, and we don’t guarantee uninterrupted or error-free operation. Cogni’s memory is designed to behave like human memory — it prioritizes and connects information, and can let less-used information fade by design — so it is not a system of record. Keep your own copy of anything you can’t afford to lose.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT MEMORIES WILL ALWAYS BE RETRIEVED OR RETAINED.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TRANSPARENT AI, INC. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICE IN THE THREE MONTHS BEFORE THE CLAIM OR US$50.

12. Indemnification

You agree to indemnify and hold Transparent AI, Inc. harmless from claims arising out of Your Content, your use of the Service, or your violation of these Terms or of any law or third-party right.

13. Termination

You can stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, or to protect the Service or other users. On termination, your right to use the Service ends; you may request export or deletion of Your Content as described in the Privacy Policy.

14. Changes to these Terms

We may update these Terms as the Service evolves. We’ll update the “Last updated” date and, for material changes, provide additional notice. Continued use of the Service after an update means you accept the revised Terms.

15. Governing law

These Terms are governed by the laws of the State of Washington, United States, without regard to conflict-of-laws rules, and you agree to the exclusive jurisdiction of the courts located there, except where applicable law provides otherwise.
